1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Upstate Tech Solutions, LLC (doing business as "ContentIQ"), governing your access to and use of the ContentIQ platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

ContentIQ is an AI-powered content intelligence platform that provides content analysis, competitor research, trend discovery, script generation, and related tools for content creators, marketers, and agencies. The Service may include features such as content scraping and analysis, AI-generated scripts, hook vaults, ad library research, clone studio, and team collaboration tools.

3. Account Terms

You must be at least 13 years of age to use the Service.
You must provide accurate and complete information when creating an account.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account.
One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations.
Infringe on the intellectual property rights of others.
Distribute malware, spam, or other harmful content.
Attempt to gain unauthorized access to the Service or its related systems.
Use the Service to harass, abuse, or threaten others.

5. Intellectual Property

Your Content: You retain all ownership rights to the content you upload, submit, or input into the Service. By using the Service, you grant Upstate Tech Solutions, LLC a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

AI-Generated Output: Analysis results, generated scripts, insights, and other outputs produced by the Service's AI features are provided for your use. You may use these outputs in your content creation. However, the underlying AI models, algorithms, and technology remain the exclusive property of Upstate Tech Solutions, LLC.

Platform IP: The Service, including its design, code, features, documentation, and branding, is owned by Upstate Tech Solutions, LLC and protected by applicable intellectual property laws.

6. Subscription, Billing & No-Refund Policy

Paid plans are billed in advance on a monthly or annual basis.
ALL SALES ARE FINAL. NO REFUNDS, CREDITS, OR CHARGEBACKS WILL BE ISSUED UNDER ANY CIRCUMSTANCES. By subscribing, you acknowledge that you will not be entitled to a refund for any reason, including but not limited to dissatisfaction with the Service, failure to use the Service, or cancellation before the end of a billing period. Cancellation stops future billing but does not entitle you to a refund for the current or any prior billing period.
If you initiate a chargeback or payment dispute, we reserve the right to immediately suspend or terminate your account and pursue recovery of the disputed amount plus any associated fees.
We reserve the right to change pricing with 30 days' notice to existing subscribers.
Downgrading your plan may result in loss of access to certain features or data.
Failure to pay may result in suspension or termination of your account.

7. Third-Party Content

The Service may display, analyze, or reference content from third-party social media platforms. This content remains the property of its respective owners. ContentIQ does not claim ownership of any third-party content. You are responsible for ensuring your use of insights derived from third-party content complies with applicable laws and platform terms of service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSTATE TECH SOLUTIONS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF THE SERVICE; OR (D) ANY BUGS, VIRUSES, OR SIMILAR ISSUES TRANSMITTED THROUGH THE SERVICE.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through your account settings. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in New York.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
